Zones – First Choice for IT is seeking a Corporate Attorney to serve as a strategic legal advisor across commercial transactions, government/public sector contracting, and corporate matters. The role requires drafting, reviewing, and negotiating significant agreements while balancing legal risk with business objectives.

The ideal candidate has a J.D., active U.S. bar admission, 7+ years of experience, and strong experience with public sector and federal contracting FAR/DFARS.

Competenze

• J.D. from an accredited law school.
• Active membership in good standing with at least one U.S. state bar.
• 7+ years of relevant legal experience; mix of law firm and in-house preferred.
• Significant experience drafting, reviewing, and negotiating complex commercial contracts.
• Experience supporting public sector and/or government contracting; federal contracting preferred.
• Familiarity with FAR and DFARS requirements.
• Experience negotiating vendor, supplier, partner, subcontractor, and commercial customer agreements.
• Experience with utility-sector contracts or customers preferred.
• Strong knowledge of commercial contracting principles and risk allocation.
• Ability to independently manage complex negotiations and escalate when needed.
• Strong analytical, judgment, problem-solving, and communication skills.

Mansioni

• Draft, review, negotiate, and advise on a broad range of complex commercial agreements.
• Support customer contracting including MSAs, professional services agreements, SOWs, and licenses.
• Advise on contractual risk, liability, indemnification, warranties, IP, data protection, and termination rights.
• Develop and maintain contract templates, standard provisions, and negotiation guidelines.
• Provide guidance on federal contracting requirements and compliance.
• Identify government contracting risks and develop mitigation strategies.
• Collaborate with Procurement, Sales, Finance, Operations, and Compliance on contract risk and strategy.

Conoscenze
