Job description

Elevate is working with a fast‑growing, publicly traded technology company with their search for experienced Senior Corporate Counsel for a five-plus-month engagement. In this role you will support a wide variety of high‑impact corporate, governance, and securities matters. This attorney will partner closely with senior leadership and cross‑functional teams and will play a key role in supporting ongoing compliance, corporate initiatives, strategic transactions, and internal process improvements.

This is an excellent fit for someone who brings strong public‑company experience, enjoys taking ownership of complex matters, and thrives in a fast‑paced, collaborative environment.

Key Responsibilities
  • Take the lead on major corporate and securities workstreams, including periodic reporting, governance activities, stockholder matters, listing‑related requirements, equity program support, and subsidiary oversight.
  • Work on a wide range of corporate initiatives including securities law compliance and filings (10-Ks, 10-Qs, 8-Ks, proxy statements, Section 16 reporting, insider trading compliance),
  • Support the preparation and review of public‑company filings and disclosures, and provide guidance on reporting obligations, compliance expectations, and regulatory considerations.
  • Advise executives and cross‑functional partners on complex legal questions, business risk, and strategic decision‑making.
  • Contribute to corporate transactions and restructuring initiatives, collaborating with internal partners across tax, finance, HR, and operations.
  • Strengthen and streamline legal processes, templates, and workflows to help the legal and business teams scale efficiently.
Required Experience
  • Seven plus years at a leading law firm; prior in‑house work for a public company is highly beneficial.
  • A J.D. from a well‑regarded law school.
  • Active membership in a U.S. state bar in good standing (California preferred); candidates not barred in CA must qualify to practice as Registered In‑House Counsel.
  • Strong, hands‑on experience supporting public‑company legal functions, especially around SEC filings and disclosure requirements; additional familiarity with executive compensation, tax‑related issues, ESG initiatives, or accounting/audit processes is a plus.
  • Ability to think on your feet, offer creative but practical solutions, and confidently manage high‑volume, fast‑changing workloads and multiple stakeholder expectations.
  • Professional presence and the ability to collaborate comfortably with senior leaders and executives.
