Campbell Global is seeking a Corporate Specialist to report to the General Counsel and provide cross-departmental support in corporate secretarial work, contract management, and regulatory compliance. The role includes governance, legal research, and special projects across the firm's operations.

Responsibilities

• Oversee and coordinate contract review and delivery with outside counsel and internal stakeholders.
• Create and maintain corporate minute books and resolutions databases to ensure regulatory compliance.
• Monitor international corporate filings and registrations for Campbell Global and client entities.
• Maintain state registration and registered agent databases for ~100 entities with third-party providers.
• Review and update operations contracts and agreements annually with outside counsel.
• Support litigation matters including discovery responses and related motions/pleadings.
• Process NDAs and provide timely responses to internal/external requests.
• Assist with real estate transactions, due diligence, and land use template updates.
• Prepare data required for regulatory reporting (e.g., SEC) and client brochures.
• Assist with policies, procedures, audits, and training across departments.
• Manage transactional conflicts checks and AML/KYC procedures for client transactions.
• Support investment advisor oversight to ensure regulatory compliance.
• Develop procedures to increase Legal/Compliance department efficiency.
• Assist with reporting on client mandates and related deliverables.
• Prepare routine documents and consents; draft shareholder/director resolutions; prepare minutes.
