Job summary

ReSource Pro seeks an Assistant General Counsel, Contracts and Corporate Maintenance, to draft, review, and negotiate commercial contracts and manage corporate maintenance. The role partners with stakeholders to advise on risk, terms, and obligations, ensuring timely completion of routine corporate tasks.

Ideal candidates hold a JD, US bar admission, 5–7 years of law experience, and familiarity with contract and corporate law in a corporate setting. Remote role based in the United States.

Qualifications

• JD from an accredited law school and membership in good standing of any United States state bar.
• Preferred CCM certification in commercial contracts management.

Responsibilities

• Drafts, reviews, and negotiates a broad range of commercial contracts, independently managing routine to moderately complex matters.
• Advises stakeholders on contract terms, obligations, and interpretation, translating legal language into practical business guidance.
• Identifies and assesses legal and contractual risk, recommending mitigation strategies.
• Performs corporate maintenance tasks, including preparing and maintaining corporate records and resolutions.
