Dagen Personnel LLC is recruiting a contract Sr. Contracts Specialist to support governance, contract administration, compliance, and transactional matters for a multi-entity environment.

The Corporate Paralegal will maintain corporate records, assist with regulatory filings, due diligence, and cross-functional projects, while coordinating with attorneys and internal stakeholders. This role emphasizes attention to detail in a fast-paced setting with multi-entity exposure.

Qualifications

• Minimum of 3 years as corporate paralegal in law firm or in-house department.
• Strong governance, entity management, and contract knowledge.
• Proficient with Microsoft Office and legal tech (DocuSign, CLM, entity management).
• Excellent organizational skills, attention to detail, and ability to manage multiple priorities.
• Strong written and verbal communication skills.
• Experience in energy, infrastructure, construction, or related industries.
• Experience supporting multi-entity corporate structures.
• Paralegal certificate or bachelor’s degree.

Responsibilities

• Maintain corporate records for U.S. and foreign subsidiaries including minute books and officer rosters.
• Prepare and file state registrations and annual reports.
• Draft governance documents (resolutions, consents, certificates).
• Support board and committee meetings—agenda, materials, minutes.
