Job summary

Fastly is seeking an experienced Assistant General Counsel, Commercial to lead a US-based Commercial Legal team and drive complex deal negotiations for enterprise customers and partners.

You will advise on data privacy and AI issues, draft and negotiate data processing agreements, and align contracts with regulatory requirements while supporting cross-functional GTM initiatives. Hybrid work available in SF or NYC.

Qualifications

• JD and member of the New York or California or other applicable US bar in good standing.
• 12+ years of combined law firm and in-house experience, including 4+ years at a respected firm and 4+ years in-house at a B2B tech company.
• At least 2 years of experience managing attorneys and/or non-attorney professionals.
• Experience negotiating enterprise cloud, infrastructure, usage-based and SaaS agreements; knowledge of AI/data privacy implications.

Responsibilities

• Manage and mentor Commercial Legal attorneys based in the US and provide leadership on complex deals.
• Lead and close MSAs and partnership negotiations with enterprise customers and channel partners.
• Advise on data privacy, AI regulations, and draft data processing agreements and AI terms.
• Draft, review, and negotiate infrastructure and various vendor agreements to support US business.
• Partner with GTM, Deal Desk, Security, Procurement and Revenue Accounting.
• Improve templates, playbooks, checklists and internal resources to accelerate negotiations.
