Job summary

GC AI seeks a Senior Commercial Counsel to own high-volume customer negotiations and build scalable processes for a fast-growing legal function. You will work across MSAs, order forms, DPAs, NDAs, and customer paper, partnering with sales to accelerate deal cycles.

You will create playbooks and templates, elevate complex issues, and influence how GC AI uses its product in day-to-day commercial work. A high-growth startup mindset is essential.

Qualifications

• JD and active bar membership in at least one US jurisdiction.
• 5-9 years of technology transactions experience in a B2B SaaS environment.
• In-house legal experience.
• Strong drafting and negotiation with MSAs, order forms, DPAs, NDAs.
• Ability to manage a high volume of customer-side negotiations.
• Experience supporting sales teams and understanding timelines.
• Ability to work independently while knowing when to elevate complex matters.
• Excellent communication to explain legal concepts to non-legal stakeholders.
• Proven ability to balance legal risk with business objectives.
• Comfort under pressure during month-end closing periods.

Responsibilities

• Manage a high volume of customer-side negotiations, reviewing and redlining customer paper and bespoke terms.
• Draft, review, and negotiate commercial agreements (MSAs, order forms, DPAs, NDAs).
• Support sales teams through deal cycles, understanding timelines and quarter-end pressures.
• Work independently on the full range of commercial matters and know when to elevate.
• Explain legal concepts clearly to non-legal stakeholders across sales, product, and customer success.
• Balance legal risk with business objectives to maintain deal velocity.
• Contribute to scalable legal processes, templates, and playbooks for go-to-market teams.
• Support vendor-side contracting as needed.
• Take on additional projects as needs evolve in a fast-growing startup.
