Job summary

Decagon is seeking a Senior Commercial Counsel to join our fast-growing team. This is a remote role for those based outside of San Francisco and New York.

You will be a senior strategic legal partner handling complex, high-impact commercial transactions and advising on go-to-market models, privacy, and regulatory matters. You will draft and negotiate enterprise SaaS and on-premises agreements, data processing terms, and other technology contracts, collaborating with sales and cross-functional

Qualifications

• JD or equivalent U.S. law degree and active bar membership in at least one U.S. jurisdiction.
• 8+ years of commercial legal experience supporting technology companies in the SaaS industry with experience leading complex enterprise transactions.
• Exceptional judgment balancing legal risk and business objectives in a fast-paced, high-growth environment.
• Proven ability to build trusted relationships with senior stakeholders and provide practical legal advice.
• Significant experience with AI, data protection, and privacy laws (EU AI Act, GDPR, CCPA).
• Outstanding drafting, negotiation, communication, and interpersonal skills.

Responsibilities

• Lead strategy, negotiation, and execution of complex, high-value enterprise B2B agreements (SaaS and on-premises).
• Partner with sales leadership on deal structuring, risk assessment, and negotiation strategy.
• Collaborate with cross-functional teams to resolve issues and support new go-to-market models.
• Develop and improve form agreements and negotiation playbooks for consistency.
• Support global expansion efforts including privacy/by-design and security/by-design programs.
• Create and deliver training to business teams on legal best practices.
