Job summary

Bristol Myers Squibb in Princeton, NJ, is seeking a Senior Corporate Counsel, Benefits and Executive Compensation to provide legal counsel on employee benefits, ERISA compliance, and related governance. You will support plan design, fiduciary oversight, and integration efforts during M&A transactions.

You will draft bonus and equity award agreements, review vendor contracts, and collaborate with Treasury, Governance, HR, and external counsel to ensure compliance with the Internal Revenue Code

Qualifications

• 10+ years of legal experience in employee benefits, executive compensation and fiduciary governance.
• J.D. from an accredited U.S. law school and license to practice law in the U.S.
• Expertise in ERISA, HIPAA, Internal Revenue Code and related regulatory frameworks.

Responsibilities

• Provide legal guidance on employee benefits and executive compensation matters and fiduciary obligations.
• Support plan design, amendments, and compliance with ERISA and the IRC.
• Assist with governance, SEC disclosures, and integration during M&A transactions.
• Draft bonus and equity award agreements and advise on vendor relationships.
