Qualifications

• Admitted to state bar in good standing.
• 5+ years experience practicing in compensation and benefits.
• Experience with SEC disclosure rules, IRC provisions; ERISA and qualified/nonqualified plans.
• Experience with executive offer letters and separation agreements.
• Ability to work collaboratively on a solutions-focused team.
• Ability to interact effectively with all organizational levels.

Responsibilities

• Provides legal counsel on executive compensation, employee benefits, and related matters across the enterprise.
• Drafts, reviews, and negotiates complex legal documents, filings, and opinions.
• Advises on regulatory disclosures, proxy statements, securities laws, and reporting obligations.
• Directs outside counsel and mentors other legal staff.
• Supports investigations, compliance actions, and litigation as needed.
