Job summary

Bristol Myers Squibb is seeking a Senior Corporate Counsel, Benefits and Executive Compensation, to provide legal counsel on employee benefits and executive compensation matters in alignment with ERISA, the Internal Revenue Code, and related laws.

The role supports governance functions, plan design, compliance, and fiduciary oversight. It also contributes to mergers and acquisitions transitions, and to SEC disclosures related to compensation and benefit plans.

Qualifications

• 10+ years of legal experience in employee benefits, executive compensation and fiduciary governance.
• J.D. from an accredited U.S. law school and license to practice law in the U.S.
• Expertise in ERISA, HIPAA, Internal Revenue Code (incl. Sec. 409A) and related regulatory frameworks.

Responsibilities

• Provide legal guidance on employee benefits and executive compensation matters, including health & welfare and retirement plans.
• Support SEC disclosures related to compensation and benefit plans (Form 10-K, Form 11-K, proxy).
• Draft bonus and equity compensation award agreements and communications.
• Review vendor agreements and support fiduciary governance, including committee materials.
