Job summary

BCG Attorney Search is seeking an experienced Employee Benefits and Executive Compensation Attorney for our Tucson, AZ office. The role emphasizes comprehensive counseling on benefits and compensation, with flexibility in title and hours and remote work options.

The ideal candidate has a JD and bar admission, at least eight years of law firm experience in benefits and executive compensation, and a track record handling mergers, acquisitions, and divestitures.

Qualifications

• JD required and bar admission in relevant jurisdiction.
• 8+ years of employee benefits and executive compensation experience.
• Experience with mergers, acquisitions, and divestitures.

Responsibilities

• Research tax and ERISA issues affecting retirement, welfare, and fringe benefit plans.
• Advise clients on compliance and regulatory changes.
• Assist with due diligence, purchase agreement review, and benefits integration.
• Draft employment agreements and incentive arrangements.
• Oversee IRS and Department of Labor correction program filings.
• Counsel on ESOP transactions and ongoing administration.
• Advise on Code Section 409A compliance.
