Cleary Gottlieb Steen & Hamilton LLP in NY, NY seeks an Associate (Senior-level) to conduct analyses regarding the appropriate structure for client transactions in light of client's legal rights & obligations, identify & develop appropriate strategies based on the interpretation of laws, rulings, & regs, as well as familiarity w/ Latin American developments, & recommend a particular course of action to clients in connection w/ such matters.

Qualifications

• JD, LLM or foreign equivalent and 4 years of experience as an Associate or related role.
• Experience advising and representing corporate and sovereign clients in US and international transactions, including debt and equity issuances.
• Experience supervising multiple work streams in corporate transactions and coordinating with advisors, law firms and auditors to close deals.
• Drafting, reviewing and negotiating contracts and other legal documents related to securities issuances, liability management and financings.

Responsibilities

• Advise and represent corporate and sovereign clients in US and international financial transactions.
• Supervise the different work streams in connection with corporate transactions and coordinate among client's advisors, other law firms and auditors, to the timely closing of such deals.
• Draft, review and negotiate contracts and other legal documents in connection with securities issuances, liability management exercises and financings.
