Overview

• The role requires conducting analyses for appropriate client transaction structures, identifying and developing strategies based on legal interpretations and familiarity with Latin American developments, and recommending courses of action to clients.
• Responsibilities include assisting Partners in formulating legal strategy for client transactions or ongoing operations, based on research of applicable laws and regulations and analysis of corresponding facts.
• Required experience includes advising and representing corporate and sovereign clients in connection with U.S. and international corporate and financial transactions, specifically covering issuances of debt and equity securities, bilateral and syndicated loans, and compliance with U.S. reporting obligations.
• The position involves supervising various work streams in corporate transactions, coordinating among client advisors (including other law firms and auditors) for timely deal closings, and supporting discussions to develop legal structures for clients' financial transaction objectives.
• Experience is also required in drafting, reviewing, and negotiating contracts and other legal documents related to securities issuances, liability management exercises, and financings, as well as drafting proposals and legal analyses for potential financial transactions for corporate and sovereign clients.
