Cleary Gottlieb Steen & Hamilton LLP in NY, NY seeks an Associate (Senior-level) to conduct analyses regarding the appropriate structure for client transactions in light of client's legal rights & obligations, identify & develop appropriate strategies based on the interpretation of laws, rulings, & regs, as well as familiarity w/ Latin American developments, & recommend a particular course of action to clients in connection w/ such matters.

Qualifications

• JD, LLM or foreign equivalent and 4 years of experience as an Associate or related role.
• Experience advising and representing corporate and sovereign clients in US and international transactions, including debt and equity issuances.
• Experience supervising multiple work streams in corporate transactions and coordinating with advisors, law firms and auditors to close deals.
• Drafting, reviewing and negotiating contracts and other legal documents related to securities issuances, liability management and financings.

Reqs JD, LLM or foreign equiv & 4 yrs of exp as an Associate or rltd occ. Must incl 4 yrs of exp in each of the following: Advising & representing corporate & sovereign clients in connection w/ US & int'l corporate & fin'l transactions, incl issuances of debt & equity securities, bilateral & syndicated loans, & compliance w/ reporting obligations in the US; Supv'g the different work streams in connection w/ corporate transactions & coord'g among client's advisors, incl other law firms & auditors, to the timely closing of such deals; Supporting discussions to dvlp the legal structures that will enable clients to achieve their objectives in connection w/ fin'l transactions; Drafting, reviewing & negotiating contracts & other legal docs in connection w/ securities issuances, liability mgmt exercises, & financings; & Drafting proposals & legal analyses in connection w/ potential fin'l transactions for corporate & sovereign clients. Must be admitted to practice law in the State of NY. The base salary for associate positions is $225,000 - $435,000/yr, depending upon class yr. We are an equal opportunity employer.
