Job summary

UpGuard is seeking a business-minded Associate Commercial Counsel / Junior Contracts Manager to support our high-velocity sales organization. You’ll manage day-to-day customer-facing negotiations, partner with our North American and EMEA go-to-market teams, and help document, maintain, and modernize contracting practices.

Qualifications

• 2+ years experience drafting, negotiating, and managing end-to-end B2B SaaS transactions.

Responsibilities

• Commercial Deal Execution: Partner with legal and GTM teams to drive routine deal flow for NA and EMEA.
• Draft, negotiate, and advise on standard B2B SaaS agreements including NDAs, MSAs, DPAs, and channel agreements.
• Manage legal intake and responses for customer RFPs, vendor forms, and security/legal questionnaires.
• Maintain and update front-line standard agreement templates to reflect evolving business needs.
• Contract Lifecycle Management: govern contract administration, data stewardship, and metadata tagging.
• Track post-execution obligations and commercial terms for reporting and risk tracking.
• Continuously improve templates, forms, enablement resources, and processes for deals and terms.
• Support development and integration of legal workflows and tech stacks (e.g., Ironclad, DealHub, Hubspot, DocuSign).
• Assist in training business teams on best practices, processes, and regulatory matters.
• Foster cross-functional partnerships with Deal Desk, Finance, Revenue Accounting, Sales, and Security.
