Job summary

ABB Inc. is seeking a Senior Counsel to provide comprehensive legal advice on fiduciary matters, corporate governance, and regulatory compliance for the U.S. legal entities.

You will lead governance, corporate filings, and licensing, while guiding risk mitigation and strategic legal decisions impacting operations. The role requires JD from a U.S. law school, active bar admission, and at least 10 years in corporate law within multinational settings.

Qualifications

• Juris Doctorate with active U.S. bar admission.
• Minimum 10 years in corporate/commercial law, multinational or top-tier firms.
• Experience with fiduciary duties and corporate governance.
• Strong contract drafting/negotiation, M&A, regulatory filings.
• Knowledge of data privacy, government contracting, licensing.
• Eligible to work in the U.S.

Responsibilities

• Lead end-to-end accountability for Legal & Integrity fiduciary duties, corporate governance, and compliance for all U.S. legal entities, including corporate secretarial services, regulatory filings, and contractor licensing.
• Serve as trusted advisor to the U.S. Country Holding Officer and senior management on governance, compliance, risk mitigation, and strategic legal matters affecting business operations, mergers & acquisitions, and license-to-operate requirements.
• Oversee integrity investigations, government contracting compliance, data privacy and protection, cybersecurity, and regulatory certifications; align with internal audit, HSE, and risk management standards.
• Provide expert counsel on contracts, commercial agreements, and shared legal entity matters; harmonize legal processes while supporting BA-specific needs; supervise paralegal staff and collaborate with global Legal & Integrity centers of excellence on topics like IP, antitrust, litigation.
