Job summary

YO AI Labs is seeking an experienced In-House Counsel (Technology Transactions) for a remote, part-time contractor role. Responsibilities include drafting, reviewing, and negotiating technology contracts, and guiding AI-driven contract analysis and redlining workflows.

The ideal candidate has hands-on experience with MSAs, NDAs, and DPAs, excellent written and verbal communication, and the ability to provide structured feedback to improve AI models used in contract review.

Qualifications

Minimum 3 years of in-house legal experience with technology transactions.
Experience negotiating and redlining MSAs, NDAs, DPAs, and other tech agreements.
Strong communication, analytical, and feedback skills.

Responsibilities

Perform simulated contract negotiations and redlining exercises involving technology transactions.
Draft, review, analyze, and revise commercial agreements including MSAs, NDAs, DPAs, and related tech contracts.
Evaluate AI-generated contract scenarios for accuracy, commercial reasonableness, risk, and drafting quality.
Provide actionable feedback to improve AI contract analysis and redlining outputs.
Develop evaluation rubrics and grading criteria for AI performance on contract tasks.
Identify contractual risks, ambiguities, and negotiation opportunities.
Collaborate with product, legal, and research teams to refine datasets and guidelines.
