Job summary

YO AI Labs is seeking an experienced In-House Counsel to support technology transactions on a part-time, contractor basis. The role focuses on contract drafting, review, redlining, and negotiation for tech agreements within a fast-paced AI-focused environment.

The ideal candidate will have substantial in-house experience, strong analytical abilities, and a track record of providing actionable feedback to improve AI-assisted contract workflows.

Qualifications

• Minimum 3 years of in-house experience in technology transactions.
• Experience negotiating MSAs, NDAs, DPAs, and other tech agreements.
• Strong written and verbal communication with meticulous attention to detail.

Responsibilities

• Perform simulated contract negotiations and redlining exercises for technology transactions.
• Draft, review, analyze, and revise MSAs, NDAs, DPAs, and related tech contracts.
• Evaluate AI-generated contract scenarios for accuracy, risk, and drafting quality.
• Provide actionable feedback to improve AI-driven contract analysis and redlining outputs.
• Develop evaluation frameworks and grading criteria for AI contract review performance.
• Identify contractual risks, ambiguities, unfavorable provisions, and negotiation opportunities.
• Collaborate with product, legal, and research teams to refine datasets and guidelines for AI-driven contract review.
