Job summary

YO AI Labs seeks an experienced in-house counsel with a strong background in technology transactions for a remote, part-time contractor role. You will draft, review, and negotiate MSAs, NDAs, and DPAs, and evaluate AI-driven contract analyses to ensure legal accuracy and commercial reasonableness.

You will provide practical feedback to improve AI contract review workflows, align legal risk with business objectives, and collaborate with product and research teams in a fast-paced tech environment.

Qualifications

• Minimum 3 years of in-house legal experience with a focus on technology transactions.
• Experience negotiating and redlining MSAs, NDAs, DPAs, and other commercial technology agreements.
• Strong understanding of technology contracting, risk allocation, and commercial negotiation strategies.
• Exceptional written and verbal communication with meticulous attention to detail.
• Ability to provide clear, actionable feedback to improve AI-driven contract review.

Responsibilities

• Perform simulated contract negotiations and redlining exercises involving technology transactions.
• Draft, review, analyze, and revise commercial agreements including MSAs, NDAs, DPAs, and related tech contracts.
• Evaluate AI-generated responses for legal accuracy, commercial reasonableness, risk, and drafting quality.
• Provide actionable feedback to improve AI contract analysis and redlining outputs.
• Develop evaluation rubrics and criteria for AI performance in contract tasks.
• Identify contractual risks, ambiguities, unfavorable provisions, and negotiation opportunities.
• Collaborate with product, legal, and research teams to refine datasets and guidelines.
