Alexander Chapman, a leading boutique law firm, seeks a Senior M&A Associate to join its nationally recognized Corporate practice on a fully remote platform. The role targets high-growth technology companies, founders, investors, and executive teams on sophisticated strategic transactions with a lower billable-hour requirement than traditional Big Law.

Qualifications

• J.D. from an accredited U.S. law school with strong academic credentials.
• Active bar membership in at least one U.S. jurisdiction.
• 9–15 years of experience practicing corporate M&A at a top law firm.
• Significant experience leading sophisticated strategic M&A transactions.
• Strong drafting and negotiation experience with merger, stock purchase, asset purchase agreements, letters of intent, and related documents.
• Experience representing technology companies, founders, or venture-backed businesses.
• Ability to independently manage multiple transactions while maintaining client service.

Responsibilities

• Lead strategic M&A transactions from letter of intent through closing with limited partner supervision.
• Draft, review, and negotiate merger agreements, stock purchase agreements, asset purchase agreements, letters of intent, term sheets, and other transaction documents.
• Manage all phases of complex domestic and cross-border M&A transactions, including due diligence, deal execution, and closing.
• Serve as the primary point of contact for clients throughout the transaction process.
• Advise founders, venture-backed companies, and strategic buyers on mergers, acquisitions, divestitures, and other corporate transactions.
• Collaborate with specialists across tax, employment, IP, and regulatory matters.
• Provide general corporate and emerging company counseling as needed.
