Our client, a growing and highly regarded legal practice is seeking a Business Transactions Associate to support its expanding Business Transactions Practice Group. This is an excellent opportunity for an associate-level attorney who enjoys working in an entrepreneurial environment and wants to build deeper experience across general corporate, M&A, governance, and business transition matters.

This role offers the chance to work closely with senior attorneys and support clients through every stage of the business lifecycle — from formation and structuring, through growth and governance, to strategic transactions and transitions.

The Opportunity

You will assist on a broad range of corporate and transactional matters while developing your expertise in a fast-paced, high-performance, fully remote environment. This is an ideal role for a lawyer who combines strong drafting and organizational skills with commercial curiosity, responsiveness, and a desire to grow within a sophisticated practice.

Key Responsibilities

• Support senior attorneys in advising founders, principals, and management teams on business planning and growth strategies
• Assist with the structuring, drafting, and execution of:
• M&A transactions
• Corporate transactions
• Equity arrangements
• Related business agreements
• Support business formation matters, entity selection, and governance documentation
• Assist with transactional tax planning considerations under supervision
• Collaborate with regulatory, litigation, and advisory colleagues to deliver integrated client solutions
• Contribute to internal knowledge sharing and broader practice group development
• Build and maintain strong working relationships across internal teams and client engagements

Candidate Profile

• 5+ years of legal experience in a law firm, in-house, or comparable professional environment
• Exposure to business, regulatory, or transactional matters
• Strong interest in continuing to build expertise in corporate transactions
• JD from an accredited law school
• Strong written and verbal communication skills
• Confident working with senior attorneys, colleagues, and clients in a collaborative setting
• Comfortable managing large, time-sensitive workloads in a fast-moving environment
• Able to thrive in a fully remote, trust-based culture focused on excellence and results
• Strong drafting capability across a broad range of legal documents
• Working knowledge of Excel
