Job summary

Jobot is seeking an experienced Associate Attorney to join their Corporate group. This position is fully remote and offers a salary range of $150,000 to $170,000 per year, based on experience. The role requires J.D.

and bar admission, with responsibilities across structuring, negotiating, documenting transactions, and advising clients on corporate matters. You will build relationships with clients, manage deal negotiations, and contribute to governance, financing, and fundraising efforts.

Qualifications

• Experience drafting all or most of the following: Board and Shareholder Resolutions for fundraising or remediation efforts; convertible notes; Operating Agreements; amended and restated articles; Employee Incentive or Synthetic Incentive Plans and Grants.
• Expertise with corporate formation, start-up activities, contract review, negotiations, and intellectual property law.
• Experience with intellectual property rights and exploitation, risk mitigation, contract drafting, corporate governance, financing, indemnification, restructuring, & fund raising.

Responsibilities

• Structure, negotiate, document, and manage various transactions.
• Provide strategic business and legal advice to clients on general legal matters.
• Advise clients on legal rights, contractual responsibilities, and other matters arising out of various agreements.
• Advise on changes in the law with respect to restrictive covenants as they relate to employment.
• Establish and maintain key stakeholder relationships with regular, effective and timely communications concerning deal negotiation and business strategy.
• Contribute to relevant internal and departmental process development and management, as well as deal-making resources.
