Job summary

Frontline Wildfire Defense is seeking an experienced Contracts Attorney to own commercial agreements with general contractors, vendors, and strategic partners. This is a high-autonomy, in-house role reporting to the General Counsel, ideal for a lawyer who wants practical, business-aligned guidance.

You will draft, review, and negotiate MSAs, change orders, NDAs, and SOWs, balancing risk and velocity across construction, hardware, and software.

Qualifications

• J.D. from ABA-accredited law school.
• Active license in at least one U.S. jurisdiction.
• 5+ years of contract-focused in-house construction legal experience.
• Ability to independently redline and negotiate subcontracts, MSAs, SOWs, and change orders.
• Strong command of construction risk allocation: indemnity, insurance, and flow-down terms.
• Experience negotiating vendor, procurement, and commercial agreements.
• Sound commercial judgment with clear recommendations.
• Excellent drafting and written communication.
• Ability to build processes where little exists and operate with limited infrastructure.
• Able to manage high-volume queue across multiple counterparties in a fast-paced environment.

Responsibilities

• Own GC agreement negotiation from draft to execution.
• Negotiate installer subcontract amendments to preserve risk position.
• Support subcontracting engine with review of SOWs and time-and-materials agreements.
• Advise on indemnity, insurance, and flow-down provisions.
• Draft, review, and negotiate vendor and procurement agreements.
• Review external NDAs and support strategic partnerships.
• Review marketing materials for legal exposure.
• Partner with Finance on collection matters.
• Escalation point for Contracts team with fast, practical guidance.
• Back up General Counsel on privacy, regulatory compliance, etc.
• Balance risk with velocity to enable Sales and Operations.
• Cross-functional collaboration with Sales, Construction Ops, Supply Chain, Finance, and Marketing.
