Job summary

Entegris, Inc. is seeking a Commercial Counsel to join its Law Department. Based in the U.S.

(Billerica, MA or another location), the role partners with Global Procurement to structure, draft, and negotiate complex procurement agreements and related commercial matters. Remote consideration is possible for the right fit. You will advise on procurement, contracts, and strategic initiatives, collaborating with global teams and driving improvements in templates and processes.

Qualifications

• J.D. or equivalent and active bar admission in at least one U.S. jurisdiction.
• 4+ years of commercial contracting experience (procurement and/or sales agreements).
• Experience in semiconductor, manufacturing, or high-tech industries preferred; experience negotiating IT or SaaS agreements is a plus.

Responsibilities

• Serve as a primary legal advisor to Entegris's Global Procurement organization and business stakeholders on commercial matters.
• Review, draft and negotiate supply, contract manufacturing, lease and other complex procurement agreements, with additional support on sales agreements and other commercial transactions as needed.
• Collaborate directly with Global Procurement and business stakeholders to provide day-to-day legal advice and address issues that arise in active commercial relationships.
• Drive continuous improvement of contract templates, positions, and negotiation strategies.
• Contribute to contract management process improvements, including the creation and implementation of CLM system enhancements, contract negotiation playbooks and AI driven solutions.
• Support cross-functional strategic initiatives across procurement, legal, and business teams as needed.
