The role
Raydar is recruiting for this role on behalf of our client. Own the day-to-day progress of corporate acquisition and sale transactions, working on a small deal team with light partner oversight. The work spans diligence, drafting and negotiating documents, finalizing closings and acting as a trusted point of contact for clients.
What you'll do
- Lead transactions from kickoff through completion, including diligence reviews and closing processes.
- Draft and negotiate definitive deal documents such as purchase agreements, letters of intent, term sheets and supporting papers.
- Advise on transactions where the client is either acquiring or selling a business, including matters that cross national borders.
- Act as a main client contact and negotiate directly with counsel on the other side.
- Prepare and track closing deliverables so each deal stays on schedule within a compact team of partner, associate and paralegal.
- Take on general corporate and emerging company assignments when deal volume is light.
- Help build out the firm's transactional practice.
Requirements
What we're looking for
- 3 to 6 years of dedicated M&A experience at a large firm, strong midsize firm or reputable boutique, with a steady employment history.
- A JD and good standing in a US state bar.
- A background centered on strategic corporate deals rather than mainly financial investor work; experience advising sellers is a plus.
- Ability to independently draft and negotiate purchase agreements and related transaction documents.
- Capacity to run a transaction from start to finish with little supervision.
- Polished, responsive client presence and comfort serving as the primary contact with minimal oversight.
- US-based, with availability to start soon.
Bonus points
- Experience with technology or venture-backed company transactions.
- Exposure to international deals on either side of the table.
- No existing client book is expected.
