Qualifications

• Active license as a U.S. attorney with 7+ years in M&A.
• Strong drafting skills and meticulous attention to detail.
• Experience with public and private M&A and corporate governance.

Responsibilities

• Deal Intelligence & Database Management: Capture key terms from signed M&A transactions and input into the deal database.
• Forms, Precedents & Drafting Excellence: Draft, update, and refine template agreements, clause libraries, and negotiation playbooks.
• Legal & Regulatory Updates: Monitor developments in public and private M&A, corporate governance, fiduciary duties, and market trends.
