Job summary

Cooley LLP in San Diego seeks an experienced Resource Attorney to support the M&A practice. The role centers on enabling lawyers with governance insights, templates, and knowledge management to improve efficiency and accuracy in deal work.

The successful candidate will bring at least 7 years of US M&A experience, strong drafting and organizational skills, and a collaborative mindset to partner with senior attorneys, marketing, and education teams on firm-wide initiatives.

Qualifications

• The M&A resource attorney must be a licensed attorney with at least 7 years of experience in a US M&A corporate/transactional practice.
• Strong drafting and organizational skills are required.
• Experience with public and private M&A, corporate governance, and market trends is preferred.

Responsibilities

• Transaction Database Management. Inputting deal terms from signed Cooley deals into our Transaction Database and coordinating with knowledge management.
• Form and Precedent Drafting/Management. Preparing or revising template documents and organizing the M&A group’s forms and precedents.
• Legal Updates. Monitoring regulatory developments and preparing summaries and alerts; updating resources accordingly.
• Legal Education. Coordinating with the education team for associate trainings related to M&A.
• Marketing/Business Development. Assisting with M&A promotion and content for pitches, blogs, and teach-ins.
