Job summary

Cooley LLP is seeking a Resource Attorney in Chicago to support the M&A group. The role focuses on building and maintaining resources, precedents, and knowledge management to enable partners to work efficiently on complex deals.

Qualified candidates will have at least seven years of US M&A experience, strong drafting skills, and a broad understanding of corporate governance and market trends. This is an on-site position with a competitive compensation package.

Qualifications

• Licensed attorney with at least 7 years of experience in a US M&A corporate/transactional practice.
• Strong drafting and organizational skills.
• Knowledge of public and private M&A, corporate governance, and market trends.

Responsibilities

• Transaction Database Management: Inputting deal terms from signed Cooley deals into the Transaction Database and coordinating with knowledge management.
• Form and Precedent Drafting/Management: Preparing drafts of template documents and organizing precedents.
• Legal Updates: Monitoring regulatory developments and creating summaries and alerts.
• Legal Education: Coordinating trainings for associates on M&A topics.
• Marketing/Business Development: Collaborating with the M&A marketing team on content for pitches and blogs.
• Assisting with Individual Attorney Requests: Providing precedents and resources on demand.
• New Initiatives: Participating in resource, knowledge management, and practice innovation projects.
• Other duties as assigned.
