Job summary

An AmLaw 100 law firm in Atlanta seeks a mid-level Associate Attorney to join its Mergers & Acquisitions and Corporate Finance practice. This role offers exposure to high-value domestic and cross-border transactions, with a strong emphasis on private equity and private-target deals in a fast-paced environment.

The position requires a JD from a top-tier law school, Georgia bar admission, and 4–6 years of substantive M&A experience, with proven ability to manage deal timelines, draft purchase

Qualifications

• JD from a top-tier law school with excellent academic record.
• Active Bar Admission in Georgia, in good standing.
• 4–6 years of substantive experience handling mergers and acquisitions and complex corporate transactions.
• Experience drafting equity and asset purchase agreements and related documents.
• Extensive experience conducting, analyzing, and summarizing legal due diligence.
• Excellent written and oral communication, analytical abilities, and ability to distill complex issues into practical advice.

Responsibilities

• Represent clients in mergers, acquisitions, divestitures, and other strategic corporate transactions.
• Manage all phases of M&A transactions, including structuring, diligence, drafting, negotiation, and closing.
• Draft and negotiate purchase agreements, ancillary agreements, and transaction documentation.
• Lead and coordinate legal due diligence efforts, supervising junior attorneys.
• Serve as a key point of contact for clients and external advisors.
• Collaborate with lawyers across corporate, tax, finance, and regulatory disciplines.

Candidate Profile

• JD from a top-tier law school with an excellent academic record
• Active Bar Admission in Georgia, in good standing
• 4–6 years of substantive experience handling mergers and acquisitions and complex corporate transactions
• Sophisticated law firm experience advising on complex M&A and corporate finance matters
• Strong experience managing private equity transactions and private-target M&A
• Proven ability to manage complex deal timelines, coordinate with subject matter experts and junior team members, and oversee transaction workflows from diligence through closing
• Experience drafting and negotiating equity and asset purchase agreements, disclosure schedules, and ancillary transaction documents
• Extensive experience conducting, analyzing, and summarizing legal due diligence
• Exceptional attention to detail and the ability to interact effectively with clients, investment bankers, and other external advisors
• Excellent written and oral communication skills, strong analytical abilities, and the capacity to distill complex legal issues into practical, actionable advice
• Demonstrated ownership mentality, strong work ethic, and the ability to manage multiple priorities in a demanding environment
