What the Legal Contract Manager does at Worldwide

The Legal Contract Manager is responsible for negotiating contracts on a variety of Worldwide and Sponsor templates and the overall management of activities involved in the development/preparation and revision of Worldwide’s sponsor contracts and amendments. This includes the review, negotiation and finalization of Master Services Agreements (MSAs) in accordance with Worldwide’s position, policies, procedures and applicable laws.

The Legal Contract Manager manages a variety of clinical, services and related local and global contracts in accordance with company policies and procedures, applicable laws, and sponsor requirements. She/he is responsible for the full life cycle of sponsor contracts as well as providing advice to Worldwide’s business units and project teams on contract management and policy compliance matters. The Legal Contract Manager will work with the Legal Department, Global Proposal Development, Business Development and Global Business Operations to review, develop, and/or negotiate various types of agreements on both Worldwide and Sponsor templates.

What you will do
  1. Independently drafts, reviews, negotiates, and manages a variety of contracts and amendments, including master services agreements MSAs, non-disclosure/confidentiality agreements, and consulting agreements globally with minimal supervision.
  2. Assists legal contracts team with the creation of contract templates, fallback and other initiatives, as needed.
  3. Liaises with the Legal Department and any other required internal stakeholders, to ensure contractual terms requested by the sponsor which are outside of fallback are acceptable to Worldwide.
  4. Ensure appropriate internal escalation with relevant Worldwide groups during contract negotiations.
  5. Collaborate with BD, therapeutic leaders, Operations, Legal and Finance to ensure the sponsor contracts reflect what has been operationally and legally agreed between Worldwide and the sponsor.
  6. Integrate changes into the contract efficiently and accurately.
  7. Interact with clients and other stakeholders.
  8. Manage the overall process and activities for ensuring execution of sponsor contracts with flexibility and prioritization to meet business goals and deadlines. Re-prioritize tasks based on urgent requests.
  9. Anticipate contractual issues at early stages and suggest solutions based on familiarity with Worldwide’s position.
  10. Act as a central point of contact for contractual issues; provide contractual input and strategy.
  11. Review, comment and negotiate the contracts with sponsor. Redlining/editing the templates provided by sponsor in addition to original text to ensure the contracts template provided by sponsor is aligned with Worldwide standard clauses and requirements.
  12. Review contracts, as needed for peers, prior to finalization.
  13. Schedules and leads conference calls to negotiate and finalize contractual terms with internal stakeholders and sponsors.
  14. Ensures any changes are integrated into a contract accurately and that approvals for any non-standard terms have been obtained from the applicable internal stakeholders.
  15. Ensures the execution copy of the final contractual document is of high quality per internal team QC guidelines.
  16. Overall tracking of document status via routine updates to Salesforce and filing of finalized contracts in SharePoint.
  17. Ability to work varied hours when required.

  8. Strong interpersonal skills to manage deliverables, responders, and deadlines. Ability to advise and interact with all levels of internal stakeholders.
  9. Strong communication skills, including the ability to articulate via the phone and in person with a high degree of professionalism.
  10. Metrics driven and goal oriented with acute attention to detail, exceptional analytical, critical reading, and good negotiation skills.
  11. Excellent customer relationship management skills and strong commercial acumen.
  12. Knowledge of general corporate business practices, commercial contracting principles, and contracting legal requirements. Prior exposure in Business Development Operations.


Your experience
  1. Bachelor's degree or equivalent work experience. Paralegal/JD preferred.
  2. Minimum of three years of direct legal contract experience with CRO or pharmaceutical data; sourcing, analysis and reporting.
  3. Previous redlining experience of contracts on a variety of templates (based on analysis and previous company’s positions).
  4. Proficiency in all MS-Office applications including Microsoft Word, PowerPoint, and Excel.
  5. Working conditions and environment: Exposure to high levels of pressure and timeline sensitive deliverables; intense concentration needed. Must be able to multi-task constantly. Frequent interaction with internal SMEs/associates required. Long, varied hours required occasionally. Travel required on rare occasions, which may be with short notice.
