Qualifikationen

• LLM degree and a paralegal certificate.
• Recent or upcoming law school graduate (highly preferred).
• Strong interest in IT transactional contracts and M&A due diligence.
• Demonstrated experience or coursework in M&A due diligence and closing processes.
• Excellent organizational and detail‑oriented skills.
• Strong written and verbal communication skills.
• Experience in the financial industry is a plus.
• Self‑starter with the ability to work independently and as part of a team.

Aufgaben

• Maintain and update IT‑related contract templates (software, data, technology services) for all business units.
• Assist attorneys in drafting, reviewing, and negotiating software and data license agreements, SaaS, services, and outsourcing contracts.
• Support the preparation of confidentiality, trading systems, FIX connectivity, API implementation, hosting, and research distribution agreements.
• Conduct IT‑focused due diligence for M&A transactions, reviewing vendor and customer contracts for transferability and change‑of‑control issues.
• Summarize and analyze IP ownership and licensing provisions within target contracts.
• Coordinate with internal stakeholders, external counsel, and vendors to gather required documentation.
• Track contract lifecycle milestones and ensure compliance with internal policies and regulatory requirements.
• Prepare and maintain due‑diligence reports, checklists, and closing binders.
• Provide administrative support for the Legal IT Transactional team, including filing and document management.
• Maintain confidentiality and exercise sound judgment in handling sensitive information.
