Job summary

Justia, Inc. is seeking a business-oriented Commercial Attorney to support a wide range of commercial and strategic initiatives. The attorney will draft, review, and negotiate agreements across corporate, technology, licensing, customer, and vendor agreements while partnering with cross-functional teams to drive business objectives.

The role requires 5–10+ years of experience, J.D., and U.S. admission with strong drafting, negotiation, and project-management skills.

Qualifications

• J.D. from an accredited law school and admission to practice in at least one U.S. jurisdiction (New York admission preferred).
• 5–10+ years of legal experience in commercial contracting, corporate transactions, and general corporate matters.
• Experience supporting mergers, acquisitions, and other strategic transactions with due diligence and post-closing integration.
• Experience advising on corporate governance, entity management, and multinational subsidiary oversight.

Responsibilities

• Draft, review, negotiate, and advise on a broad range of commercial and corporate agreements.
• Provide practical legal advice to business leaders on corporate and strategic matters.
• Support mergers, acquisitions, restructurings, joint ventures and other strategic transactions.
• Develop and maintain contract templates, policies and processes to improve consistency and risk management.
