Cantor Fitzgerald L.P. is seeking a contract paralegal focused on IT transactions and M&A due diligence. You will maintain IT contract templates and support attorneys drafting and negotiating software, data licenses, SaaS, and related technology agreements.

The role requires experience with IT-related due diligence in M&A, strong organizational and communication skills, and an ability to handle confidential information in a fast-paced financial environment.

Qualifications

• LLM degree and paralegal certificate.
• Recent or upcoming law school graduate highly preferred.
• Experience in IT transactional contracts field and M&A due diligence is required.
• Strong organizational skills and ability to maintain confidentiality.

Responsibilities

• Maintaining IT-related contract templates for the Firm’s businesses (e.g., software, data, technology development services).
• Assist attorneys with drafting, review, and negotiations of technology-related agreements (software, data licenses, services, SaaS, confidentiality, trading systems, FIX connectivity, API, hosting, outsourcing, maintenance, consulting, research distribution).
• Assist with IT-related due diligence in M&A, including reviewing, summarizing, and analyzing vendor/customer contracts for transferability, change of control, and IP ownership issues.
