Job summary

Nationwide's Investments Legal Practice Group is seeking an Associate Counsel to support the Department of Investments. You will work with investment professionals and internal stakeholders to structure and execute complex private investment transactions, including funds, co-investments, and secondary deals.

You will provide legal counsel on regulatory obligations, draft and negotiate key agreements, and collaborate with internal teams to improve policies and processes within a fast-paced

Qualifications

• JD from an American Bar Association-accredited law school.
• Licensed to practice in the state(s) where they practice.
• Typically up to four years of proven legal experience.
• Strong verbal and written communication; analytical and negotiation abilities.

Responsibilities

• Assist on structuring and execution of private investments, including private funds, feeder funds, co-investments, and secondary transactions.
• Draft, review, and negotiate subscription agreements, limited partnership agreements, note purchase agreements, side letters, and investment management agreements.
• Research legal issues and prepare recommendations for core matters; provide counsel within a team of attorneys for business partners.
