Responsibilities

• Work on complex private markets transactions across private equity, hedge, venture capital, real estate, infrastructure, credit, and other strategies.
• Represent institutional investors in private fund and related investment vehicles.
• Conduct fund due diligence and negotiate subscription agreements, side letters, investment management agreements, separate account arrangements, co-investments, continuation vehicles, and secondaries.
• Experience at the intersection of investment management and structured finance is valued (securitizations, asset-backed finance, fund finance, and private credit).

Overview

• The practice advises sophisticated institutional investors, private funds, and other market participants on a broad range of fund investment, structuring, regulatory, governance, and transactional matters.
• The Associate will work on complex private markets transactions spanning private equity, hedge, venture capital, real estate, infrastructure, credit, and other alternative investment strategies.
• Candidates should have substantive experience representing institutional investors such as pension plans, insurance companies, endowments, foundations, sovereign wealth funds, and family offices in private fund and related investment vehicles.
• Experience should include conducting fund due diligence and negotiating investment-related documentation such as subscription agreements, side letters, investment management agreements, separate account arrangements, co-investments, continuation vehicles, and secondaries transactions.
• Experience at the intersection of investment management and structured finance is especially valued, including work with securitizations, asset-backed finance, rated note feeder structures, fund finance, credit funds, structured products, or other private credit transactions.
• Strong academic credentials are required, alongside excellent drafting, analytical, and client counseling skills, and the ability to manage sophisticated matters in a fast-paced, client-service-oriented environment.
