Job summary

PNC is seeking a Senior Counsel in its Corporate Governance group to support registered investment advisers, private funds, and investment management matters. The role will focus on Advisers Act and related regulatory topics, requiring close collaboration with senior leaders, compliance, and risk teams.

Based in multiple U.S. locations, the attorney will draft agreements, oversee regulatory filings, and help structure private funds while balancing business objectives and risk considerations.

Qualifications

• J.D. from an accredited law school.
• Admission in good standing to practice law in at least one U.S. jurisdiction.
• Three to eight years of legal experience in a law firm, financial institution, registered investment adviser, asset manager, investment company, or regulatory agency.
• Experience with the Investment Advisers Act of 1940 and its application to advisers and funds is preferred.

Responsibilities

• Serve as legal advisor to registered investment advisers that advise private credit funds and other investment vehicles.
• Provide legal support on Investment Advisers Act matters including governance, disclosures, and regulatory filings.
• Assist with Investment Company Act matters affecting private funds and fund structures.
• Draft, review, and update advisory and sub-advisory agreements, offering materials, and regulatory filings (e.g., Form ADV).
• Partner with compliance, risk management, and business leadership to maintain policies and procedures for regulatory compliance.
• Represent PNC in interactions with regulators, external counsel, and investors.
