About This Opportunity
We are placing a mid-level Investment Management and Securities Associate for a nationally ranked AmLaw 100 law firm in New York City. This is a partner-track seat at a firm with one of the most recognized investment management and private funds practices in the country — Chambers USA ranked, with a client base that includes the largest hedge funds, private equity sponsors, registered investment advisers, and digital asset managers in the market.

What the Work Looks Like
- Advising private fund sponsors on fund formation, structuring, and ongoing operations — hedge funds, PE funds, venture capital, credit funds, and digital asset funds
- Counseling registered investment advisers and broker-dealers on Investment Advisers Act compliance, SEC examinations, and ongoing regulatory matters
- Working with registered fund clients on '40 Act matters including ETF launches, fund board governance, and SEC registration statements
- Advising on PIPE transactions, follow-on equity offerings, and capital markets regulatory compliance
- Supporting clients navigating the SEC Marketing Rule, digital asset regulatory frameworks, and evolving compliance landscapes
What You Bring
- 3–7 years of experience in investment management, private funds, securities regulatory, or capital markets at a law firm or the SEC
- Experience advising hedge funds, PE funds, RIAs, broker-dealers, or registered investment companies
- Strong drafting skills — PPMs, LP agreements, Form ADV, subscription agreements, registration statements, or securities offering documents
- Offshore fund formation experience (Cayman, BVI) is a meaningful differentiator
- Digital asset fund formation or crypto regulatory experience is highly valued
- New York bar admitted or eligible to waive in
- Top academic credentials
