Boston, Massachusetts, Chicago, Illinois, Dallas, Texas, New York | 4-6 Years' Experience | $290,000-$390,000

A highly regarded private funds practice is seeking an experienced Fund Formation & Investment Management Associate to join its Boston team. The position offers sophisticated work across the private funds market and the opportunity to advise both general partners and limited partners on complex fund formation, investment management, secondary, and restructuring matters.

This is a strong platform for an associate who has already developed meaningful private funds experience and is ready to take greater ownership of transactions, manage deal teams, and work directly with senior attorneys and institutional clients.

The Role

The associate will handle a broad range of sophisticated private funds matters, including:

• Structuring and formation of private investment funds and management entities
• Advising GPs and LPs throughout the fund lifecycle
• Negotiating transactions involving institutional investors, including pension plans, funds-of-funds, endowments, and foundations
• Buy-side and sell-side secondary transactions involving LP fund interests
• GP-led fund restructurings and related transactions
• Advising on Investment Advisers Act registration and investment management compliance matters
• Securities Act considerations applicable to private investment funds
• Drafting and negotiating complex fund, investment, and management documentation
• Coordinating matters involving multiple attorneys and paralegals while maintaining direct communication with clients

The practice offers exposure to the commercial and regulatory considerations shaping the private funds industry, providing an opportunity to broaden both transactional and investment management expertise.

Candidate Profile

Candidates should have 4-6 years of relevant law firm experience, with substantive experience in fund formation and investment management.

A working knowledge of Investment Advisers Act registration, compliance matters, and Securities Act issues affecting private investment funds is expected. Experience negotiating on behalf of or opposite sophisticated institutional investors is particularly relevant.

Candidates must have a JD from an ABA-accredited law school and previous experience working in a law firm. Admission in good standing to a U.S. state Bar is required, with timely admission in the jurisdiction of the hiring office where applicable.

Strong drafting, transaction management, and interpersonal skills are important, as is the ability to operate effectively across multi-attorney teams and communicate directly with senior lawyers and clients.

While Boston is the preferred location, qualified candidates may also be considered for Chicago, Dallas, or New York, with other locations potentially available depending on experience and business requirements.

The expected salary range for this position is $290,000-$390,000, with compensation determined by experience and other relevant factors.
