Valsoft seeks an in-house counsel to support three portfolio groups, handling software licensing, SaaS, vendor and partnership agreements, and employment matters. You will protect IP, maintain governance, and guide integration post-acquisition in a fast-growing, entrepreneurial environment.

You will collaborate with business teams, manage risk, and provide practical legal solutions across U.S. and international operations.

Qualifikationen

• Strong drafting and negotiation skills on commercial and technology agreements.
• Experience with technology, software, and AI licensing agreements, and a solid understanding of SaaS business models.
• Experience handling employment law and HR-related legal matters.
• Working knowledge of commercial contracts, IP, and corporate governance.
• Sound, practical judgment: you give the business a clear answer and a path forward.

Aufgaben

• Draft, review, and negotiate the agreements that keep the businesses running: software licensing, SaaS, customer, vendor, and partnership agreements
• Build practical templates and playbooks so business teams can move quickly with less legal friction
• Advise on technology and AI licensing questions as they come up
• Act as the first call for portfolio company leaders on a wide range of legal questions
• Support employment matters and HR initiatives, including policies, contracts, and workplace issues
• Manage IP matters, including software licensing, ownership, and protection
• Spot legal risk early and work with business teams on sensible, proportionate fixes
• Maintain corporate records and keep corporate formalities and governance current across entities
• Provide guidance on regulatory compliance in U.S. and international operations
• Coordinate with outside counsel and international stakeholders on multi-jurisdictional issues
• Assist with post-close integration from a legal and operational standpoint
