Job summary

Valsoft Corporation seeks an in-house Counsel in Florida to support three portfolios, handling software licensing, SaaS, and vendor agreements. You’ll advise on employment issues, protect IP, and oversee corporate records, with involvement in cross-border and multi-jurisdictional matters.

You’ll partner closely with business teams, draft practical templates, and navigate regulatory compliance across U.S. and international operations. A dynamic, entrepreneurial environment awaits.

Qualifications

• J.D. required with active U.S. license.
• Experience drafting commercial, technology, and SaaS agreements.

Responsibilities

• Draft, review, and negotiate software licensing, SaaS, customer, vendor, and partnership agreements.
• Create templates and playbooks to accelerate business teams with minimal legal friction.
• Advise on technology and AI licensing questions as they arise.
• Serve as first point of contact for portfolio company leaders on legal matters.
• Support employment matters and HR initiatives, including policies and contracts.
• Manage IP matters including software licensing, ownership, and protection.
• Identify legal risks early and collaborate on practical fixes.
• Maintain corporate records and governance across entities.
• Provide regulatory guidance in U.S. and international operations.
• Coordinate with outside counsel on multi-jurisdictional issues and post-close integration.
