Job summary

Valsoft Corporation in Massachusetts is seeking an in-house counsel to support three portfolio units. You will draft, review, and negotiate software licensing, SaaS, and vendor agreements while advising on employment matters, IP protection, and corporate records.

The role involves cross-portfolio collaboration and practical problem solving to protect business interests. You will guide regulatory compliance in the U.S.

Qualifications

• J.D. from an accredited law school
• Admitted and in good standing in at least one U.S. state
• 4–8 years of legal practice (firm and in-house experience is a plus)
• Strong drafting and negotiation skills on commercial and technology agreements
• Experience with technology, software, and AI licensing agreements
• Experience handling employment law and HR-related matters
• Working knowledge of contracts, IP, and corporate governance
• Clear, practical judgment and ability to manage multiple priorities across entities

Responsibilities

• Draft, review, and negotiate software licensing, SaaS, customer, vendor, and partnership agreements
• Develop templates and playbooks to speed business execution
• Advise on technology licensing and AI licensing questions
• Serve as first call for portfolio leaders on a range of legal questions
• Support employment matters and HR initiatives, including policies and contracts
• Manage IP matters including licensing, ownership, and protection
• Identify and address legal risk with business teams
• Maintain corporate records and governance across entities
• Provide regulatory guidance for U.S. and international operations
• Coordinate with outside counsel on multi-jurisdictional issues
• Assist with post-close integration from a legal and operational standpoint
