Job summary

Valsoft Corporation seeks an in-house counsel to support three portfolio groups including software companies and ventures. You will draft and negotiate software licensing, SaaS, customer, vendor and partnership agreements, and provide practical templates to accelerate business decisions.

You will advise on employment matters, protect IP, maintain corporate records, ensure regulatory compliance, and assist with post-close integration across entities, partnering closely with management to drive

Qualifications

• J.D. from an accredited law school, admitted and in good standing in at least one U.S. state.
• 4 - 8 years of legal practice (experience at a law firm and then in-house operational work is an asset).
• Strong drafting and negotiation skills on commercial and technology agreements.
• Experience with technology, software, and AI licensing agreements, and a solid understanding of SaaS business models.
• Experience handling employment law and HR-related legal matters.
• Working knowledge of commercial contracts, IP, and corporate governance.
• Sound, practical judgment: you give the business a clear answer and a path forward.
• Comfort juggling many matters and stakeholders at once, often across different companies.

Responsibilities

• Draft, review, and negotiate the agreements that keep the businesses running: software licensing, SaaS, customer, vendor, and partnership agreements.
• Build practical templates and playbooks so business teams can move quickly with less legal friction.
• Advise on technology and AI licensing questions as they come up.
• Act as the first call for portfolio company leaders on a wide range of legal questions.
• Support employment matters and HR initiatives, including policies, contracts, and workplace issues.
• Manage IP matters, including software licensing, ownership, and protection.
• Maintain corporate records and keep corporate formalities and governance current across entities.
• Coordinate with outside counsel and international stakeholders on multi-jurisdictional issues.
• Assist with post-close integration from a legal and operational standpoint.
