Job summary

Interstates is seeking an Associate Counsel to support a growing in-house legal team involved in commercial contracts, governance, employment, and IP matters. You will work with leaders across Sales, Operations, and Finance to enable smart business decisions while managing risk.

Ideal candidates have a J.D., a valid U.S. license, and 0–3 years of experience with strong research, writing, and negotiation skills. Travel is minimal, and opportunities exist for broad exposure to corporate matters.

Qualifications

• Juris Doctor degree from an accredited law school.
• Licensed to practice law in at least one U.S. jurisdiction.
• 0–3 years of legal experience preferred.
• Experience reviewing, drafting, or negotiating commercial contracts.

Responsibilities

• Provide practical legal guidance to business leaders and internal stakeholders on a variety of day-to-day legal matters.
• Draft, review, negotiate, and revise commercial agreements, including customer contracts, vendor agreements, subcontracts, software and technology agreements, NDAs, and other business contracts.
• Identify legal and business risks within agreements and recommend practical solutions that align with company objectives.
• Support contract negotiations and help develop contract templates, playbooks, standard positions, and review procedures.
• Conduct legal research and prepare written analyses, recommendations, and guidance for business and legal leadership.
• Assist with legal matters involving corporate governance, compliance, employment, intellectual property, litigation, claims, insurance, real estate, and strategic business initiatives.
• Monitor legal and regulatory developments affecting the business and assist with implementation of legal requirements.
• Develop legal resources, policies, training materials, and internal documentation that improve consistency and efficiency.
