Job summary

Interstates is seeking an Associate Counsel to join our Legal team. This role provides practical legal guidance to leaders across Sales, Operations, Project Management, and more, focusing on commercial contracts, corporate matters, compliance, employment, IP, and construction-related initiatives.

Reporting to the General Counsel, you will review and negotiate agreements, draft templates, conduct legal research, and help ensure risk is managed while enabling business objectives.

Qualifications

• J.D. degree from an accredited law school.
• Licensed to practice law in at least one U.S. jurisdiction.
• 0-3 years of legal experience preferred.
• Experience drafting or negotiating commercial contracts is preferred.

Responsibilities

• Provide practical legal guidance to business leaders and internal stakeholders on a variety of day-to-day legal matters.
• Draft, review, negotiate, and revise commercial agreements, including customer contracts, vendor agreements, subcontracts, software and technology agreements, NDAs, and other business contracts.
• Identify legal and business risks within agreements and recommend practical solutions that align with company objectives.
• Support contract negotiations and help develop contract templates, playbooks, standard positions, and review procedures.
• Conduct legal research and prepare written analyses, recommendations, and guidance for business and legal leadership.
• Assist with legal matters involving corporate governance, compliance, employment, intellectual property, litigation, claims, insurance, real estate, and strategic business initiatives.
• Monitor legal and regulatory developments affecting the business and assist with implementation of legal requirements.
• Develop legal resources, policies, training materials, and internal documentation that improve consistency and efficiency.

Education

Juris Doctor (J.D.) from an accredited law school

Licensed to practice law in at least one U.S. jurisdiction
