Job summary

Interstates is seeking an Associate Counsel to join its growing Legal team and support a range of complex industrial electrical, technology, and manufacturing projects. You will collaborate with leaders across Sales, Operations, Project Management, and HR to provide practical legal guidance while managing risk.

This role offers broad exposure to commercial contracts, corporate matters, compliance, employment, IP, construction, and strategic initiatives, working directly with experienced legal

Qualifications

• Juris Doctor (J.D.) from an accredited law school.
• Licensed to practice law in at least one U.S. jurisdiction or eligible to obtain admission.
• 0-3 years of legal experience preferred.
• Experience reviewing, drafting, or negotiating commercial contracts is preferred.
• Coursework or experience in corporate, commercial, construction, employment, or IP law is a plus.
• Strong legal research, writing, analytical, negotiation, and organizational skills.

Responsibilities

• Provide practical legal guidance to business leaders on day-to-day matters.
• Draft, review, negotiate, and revise commercial agreements including customer and vendor contracts, NDAs, and software agreements.
• Identify legal and business risks within agreements and propose practical solutions.
• Support contract negotiations and help develop templates and review procedures.
• Conduct legal research and prepare analyses for leadership.
• Assist with corporate governance, compliance, employment, IP, litigation, and real estate matters.
• Monitor regulatory developments and assist implementation of requirements.
• Develop legal resources and internal documentation to improve efficiency.
