Carma Warranty seeks its first in-house Corporate Counsel to join the Santa Ana team and help shape the company’s legal function as it grows. This role works directly with executive leadership on business initiatives, contracts, and compliance.

The attorney will draft and negotiate commercial agreements, support employment matters, manage regulatory licensing, and build scalable legal processes in collaboration with outside counsel and internal stakeholders.

Qualifications

• Active membership in good standing with the California State Bar.
• Approximately 3 or more years of relevant legal experience preferred.
• Experience in corporate law, commercial contracts, employment law, regulatory compliance, or related business legal matters.
• Strong understanding of business operations and commercial relationships.
• Excellent written and verbal communication, negotiation, and organizational skills.
• Ability to work independently while collaborating closely with executive management and outside counsel.
• Prior in-house counsel experience is welcome but not required.
• Experience in regulated industries, consumer services, warranty products, or multi-state operations is a plus.

Responsabilités

• Work with executive management on business initiatives, legal considerations, operational challenges, and strategic decisions.
• Coordinate with outside counsel to manage legal matters and ensure timely follow-up.
• Draft, review, negotiate, and manage commercial contracts, vendor agreements, service agreements, and other business documents.
• Partner with management and HR on employee onboarding, offboarding, employment agreements, policies, workplace concerns, and employment-related legal issues.
• Assist with state licensing, registrations, renewals, regulatory requirements, and related compliance matters.
• Support corporate governance, documentation, business relationships, and legal aspects of organizational growth.
• Develop practical policies, procedures, tracking systems, and processes to improve efficiency and accountability.
• Identify legal and business risks early and propose practical solutions to enable management to move forward.
