Leading Global Law Firm in Los Angeles or San Diego seeks a Corporate Paralegal to support sophisticated corporate transactions, formation/maintenance, securities filings, and private company equity matters. Hybrid schedule with attorneys and clients across offices.

Ideal candidate has experience with Carta/Pulley, EDGAR Next, and entity formation, with strong organizational and communication skills to manage high-volume work and tight deadlines.

Formación

• High school diploma or GED required.
• Bachelor's degree and/or paralegal certificate preferred; if no degree, at least 5 years of legal support experience.
• Corporate transactional experience strongly preferred.
• Experience with Carta, Pulley, or comparable equity management platforms.
• Experience with SEC EDGAR Next.
• Familiarity with entity formation, corporate maintenance, capitalization records, and transactional closings.
• Strong organizational skills and exceptional attention to detail.
• Ability to manage a high volume of work and multiple deadlines.
• Excellent written, verbal, and interpersonal communication skills.
• Ability to collaborate with attorneys and teams across multiple offices.

Responsabilidades

• Maintain capitalization tables, stock ledgers, and option ledgers.
• Work with equity management platforms such as Carta, Pulley, and similar systems.
• Assist with SEC filings through EDGAR Next.
• Form and maintain corporations, LLCs, nonprofit entities, and other business organizations.
• Prepare and file corporate documents, including articles and certificates of incorporation or organization, amendments, foreign qualifications, consents and resolutions, merger documents, annual reports, and closing deliverables.
• Assist with M&A and other corporate transactions from due diligence through closing.
• Prepare and maintain transaction closing checklists and organize closing documents and closing volumes.
• Assist with private company equity matters, including stock issuances, transfers, stock option grants, and equity plan records.
• Prepare UCC searches and filings.
• Conduct Blue Sky research and prepare related filings.
• Assist with corporate and transactional due diligence.
• Prepare drafts of S-8 Registration Statements and Section 16 filings.
• Prepare filings with Secretaries of State and other state and federal agencies.
• Maintain hard-copy and electronic corporate minute books.
• Manage virtual data rooms, transaction documents, and matter files.
• Coordinate with attorneys, clients, internal teams, and outside vendors throughout corporate transactions.
