Job summary

Our client, a highly respected law firm, seeks a Corporate Paralegal to support a busy corporate practice and partner closely with attorneys, clients, and vendors. Location is San Diego or Los Angeles with a hybrid schedule.

You will manage capitalization tables, stock ledgers, and related equity records, and work with Carta and Pulley. The role involves SEC EDGAR Next filings, entity formations, and prep of needed corporate documents.

Qualifications

• Experience supporting corporate transactional work.
• Maintenance of capitalization tables and equity records.
• Familiarity with corporate maintenance platforms such as Carta and Pulley.
• Experience with SEC EDGAR and related filings.
• Ability to organize transaction documents and closing sets.
• Knowledge of UCC searches and filings and due diligence processes.

Responsibilities

• Maintain capitalization tables, stock/option ledgers and related equity records.
• Work in Carta and Pulley for corporate maintenance.
• Support filings and processes related to SEC EDGAR Next.
• Prepare and file corporate documents (formations, amendments, qualifications, consents, annual reports).
• Assist with entity formations (Corporations, LLCs, 501(c)(3)).
• Coordinate and organize transaction documents, closing sets and closing books (M&A and mergers).
• Prepare UCC searches and filings.
• Support due diligence efforts and manage data rooms/matter files.
• Maintain minute books (electronic and hard copy).
• Assist with transfer agent functions (issuances, transfers, option grants, plan maintenance).
• Prepare drafts for filings with Secretaries of State and other agencies.
• Develop and maintain closing checklists.
• Support Blue Sky research and filings.
• Prepare drafts and file S-8 registrations and Section 16 filings.

What You'll Do

Under attorney supervision, you will handle a broad range of corporate and transactional support, including:

• Maintain capitalization tables, stock/option ledgers, and related equity records
• Work in corporate maintenance platforms such as Carta and Pulley
• Support filings and processes related to SEC EDGAR Next
• Prepare and file corporate documents (e.g., formations, amendments, state qualifications, consents, annual reports)
• Assist with entity formations (Corporations, LLCs, 501(c)(3))
• Coordinate and organize transaction documents, closing sets, and closing books (including M&A and mergers)
• Prepare UCC searches and filings
