Naviga Recruiting & Executive Search seeks a Contract Corporate Paralegal Specialist for a premier firm with a hybrid work setup. The role targets an elite paralegal with 10+ years in corporate law and advanced capitalization knowledge.

Based in California with access to multiple office locations, you will drive cap table management, major transactions, and SEC filings across matters using Carta, Pulley, HighQ, Box, DocuSign, and SimplyAgree.

Qualifications

10+ years of paralegal experience specializing heavily in corporate law, with a deep understanding of corporate capitalization, the Securities Act of 1933, the Securities Exchange Act of 1934, and California/Delaware Corporations Codes.
Software Super-User: Direct, hands-on experience utilizing equity management tools like Carta and Pulley, electronic data rooms (HighQ and Box), signature platforms (DocuSign and SimplyAgree), and compliance tech (SEC EDGAR Next).
Highly Autonomous & Resourceful: Proven ability to manage massive volumes of data, anticipate attorney needs, exercise impeccable independent judgment, and operate with a level of expertise akin to a junior associate.
Credentialed: Possess a Bachelor’s degree (preferred) or a Paralegal Certificate. California-based candidates must strictly meet all California Paralegal Requirements.
Elite Communicator: Exceptional verbal and written communication skills needed to interface with high-profile clients, managing partners, and outside vendors under tight deadlines.

Responsibilities

Cap Table Management: Perform and maintain capitalization tables, stock ledgers, and option ledgers using specialized software.
Transaction Execution: Organize, prepare, and file corporate legal documents for major transactions, including Articles of Incorporation, Amendments, consents, merger documents, closing books, electronic closing sets, and short‑form closing deliverables.
Securities & Regulatory Filings: Prepare drafts and execute Section 16 filings, utilize SEC EDGAR Next, and conduct comprehensive Blue Sky research and filings.
Entity Formation & Maintenance: Assist with the formation of corporations, LLCs, and 501(c)(3) entities; draft by-laws, prepare stock certificates, and maintain physical and electronic minute books.
Data Room & Document Control: Manage HighQ and Box data rooms, organize matter files, develop and monitor closing checklists, and administer signature packets via DocuSign and SimplyAgree.
Corporate Governance: Prepare UCC searches, draft documentation for filings with Secretaries of State, the Department of Corporations, and other agencies, and compile annual reports.
